1. Acceptance

By using this website or engaging Renray (Pty) Ltd ("Renray", "we", "us"), you agree to these terms. Reg No. 2014/252169/07.

2. Services

Renray provides custom software development, website design and development, mobile application development, website hosting, maintenance and support, and brand development services.

Every engagement is governed by a written agreement or quotation signed or accepted by both parties. Where this website conflicts with that agreement, the agreement takes precedence.

3. Quotations and pricing

Quotations are valid for 30 days from the date of issue unless stated otherwise. Prices exclude VAT. Additional work requested outside the agreed scope is quoted separately before it is started.

4. Client responsibilities

We build software around how your business works, which means we need timely access to people who understand that business. You agree to:

  • Provide accurate information, requirements and access to relevant personnel;
  • Respond to requests for feedback or approvals within a reasonable time;
  • Confirm in writing that requirements are correct before development continues;
  • Ensure any information you provide us with does not infringe the rights of others.

Delays caused by pending feedback will affect delivery dates accordingly.

5. Intellectual property

On full payment of all amounts due, intellectual property in the custom deliverables created specifically for you transfers to you, excluding:

  • Third-party components, libraries and frameworks, which remain under their own licences;
  • Our pre-existing tools, libraries and know-how, which we retain and may reuse;
  • Renray's name, logo and branding, which we may not use without written permission.

6. Confidentiality

Both parties agree to keep the other's confidential information confidential and to use it only for the purposes of the engagement.

7. Warranties and liability

Renray warrants that work will be performed with reasonable skill and care, and that deliverables will materially conform to the agreed specification. We do not warrant that software will be entirely free of defects or completely uninterrupted.

To the extent permitted by law, Renray is not liable for indirect or consequential loss, loss of profit, revenue or data. Our total liability in respect of any claim is limited to the total fees paid to us in the twelve months preceding the claim.

Nothing in these terms limits liability for gross negligence, wilful misconduct, or anything that cannot lawfully be limited.

8. Payment terms

Payment terms are set out in your quotation or agreement. Invoices are payable within the period stated on the invoice. Work may be paused where an invoice remains unpaid.

9. Cancellation and termination

Either party may terminate an engagement for material breach that is not remedied within 30 days of written notice.

On termination you pay for all work completed and costs committed to up to the date of termination. We will hand over work completed to that point, subject to payment in full.

10. Hosting and support

Hosting and support are provided on a recurring basis and are subject to their own agreement. We may suspend a service where it poses a security risk, is used unlawfully, or where payment is outstanding, after giving reasonable notice where the circumstances allow.

11. POPIA and data

We process personal information in line with POPIA. Where we hold personal information on your behalf, we act as an operator and process it only on your documented instructions. See our Privacy Policy.

12. Governing law

These terms are governed by the laws of the Republic of South Africa. Any dispute is subject to the exclusive jurisdiction of the Magistrate's Court for the district of Randburg, unless the parties agree otherwise in writing.
